1. Agreement to Terms

These Terms of Service ("Terms") govern your use of the StrataDrive website and the marketing services we provide. By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you should not use our website or services.

2. Services

StrataDrive provides digital marketing services including but not limited to social media management, content creation, search engine optimization, paid advertising, email marketing, branding, and website development. The specific scope of services for each engagement is defined in the service package description, order confirmation, or custom proposal agreed upon between you and StrataDrive.

3. Client Responsibilities

To enable us to deliver quality services, you agree to:

• Provide accurate and timely information about your business, goals, and target audience.
• Provide timely feedback and approvals on deliverables, campaigns, and content.
• Grant necessary access to platforms, accounts, and assets required for service delivery.
• Ensure that all materials, content, and brand assets you provide do not infringe on third-party rights.
• Make timely payments in accordance with your billing schedule.

4. Fees and Billing

Service fees are described in your selected package or custom proposal. Subscription services are billed on a recurring basis (monthly or annually) until cancelled. One-time services are billed as a single payment. All fees are non-refundable except where required by law. Late payments may result in a pause of services until the account is brought current.

5. Cancellation

Subscription services may be cancelled at any time with written notice. Cancellation takes effect at the end of the current billing cycle. One-time projects may be cancelled with written notice; work completed up to the cancellation date will be billed. Custom plans may have specific cancellation terms outlined in the proposal.

6. Intellectual Property

Upon full payment for services rendered, all final deliverables created specifically for your business (such as graphics, content, and completed campaign assets) are transferred to you for your use. We retain the right to use non-confidential work for our portfolio and marketing purposes unless otherwise agreed in writing. You retain ownership of all pre-existing brand assets and materials you provide to us.

7. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. We will not disclose your business information to third parties except as necessary to perform our services or as required by law.

8. Limitation of Liability

StrataDrive is not liable for indirect, incidental, or consequential damages arising from the use of our services. Our total liability for any claim shall not exceed the amount you have paid us for the services giving rise to the claim in the three months preceding the claim. We do not guarantee specific marketing results, as outcomes depend on many factors outside our control.

9. Third-Party Services

Our services may involve third-party platforms (such as social media networks, advertising platforms, and email providers). We are not responsible for the actions, policies, or downtime of these platforms. You are responsible for complying with the terms of service of any third-party platforms used in your campaigns.

10. Changes to Terms

We may update these Terms from time to time. We will post any changes on this page and update the "Last updated" date. Continued use of our services after changes constitutes acceptance of the updated Terms.

11. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes shall be resolved in the courts located in San Francisco County, California.
